These General Terms and Conditions of Sale (GTC) govern the contractual relationship between SAM THE AGENCY, a simplified joint-stock company (SAS) registered under SIREN number 105 675 086, with its registered office at 58 rue des Dames, 75017 Paris, France, and any client wishing to benefit from its services.

SAM THE AGENCY provides services in the following areas: communication consulting, content creation, social media management, event management and multimedia production. Each service is subject to a personalised quote, a package or a monthly subscription depending on the nature of the assignment, established after discussion with the client.

Every engagement begins with a detailed quote issued by SAM THE AGENCY. Quotes are valid for 30 days from their date of issue. Signing the quote constitutes acceptance of these GTC and a firm commitment from the client. No work will begin without a signed quote and receipt of the deposit.

All prices are quoted in euros excluding taxes. A deposit of 50% is required upon signing the quote, with the balance due upon delivery or according to the payment schedule defined in the quote. For monthly subscriptions, invoicing is issued at the beginning of each month. Any late payment will result in late payment penalties at the applicable legal rate.

SAM THE AGENCY undertakes to carry out the commissioned services with care and professionalism, within the agreed timeframes. The client undertakes to provide in a timely manner all information, content and approvals necessary for the proper execution of the assignment. Any delay attributable to the client may result in a corresponding delay in delivery.

All creations produced by SAM THE AGENCY remain its intellectual property until full payment has been received. Upon complete payment, exploitation rights are transferred to the client for the use defined in the quote. SAM THE AGENCY reserves the right to reference completed work in its communications and portfolio.

SAM THE AGENCY undertakes to treat confidentially all information communicated by the client in the context of the assignment. This confidentiality obligation applies throughout the duration of the engagement and beyond.

In the event of termination at the client's initiative, all services already rendered remain due. The deposit paid will be retained by SAM THE AGENCY as compensation. In the event of termination at SAM THE AGENCY's initiative due to the client's failure to meet its obligations, the balance of services rendered becomes immediately payable.

These GTC are governed by French law. In the event of a dispute, the parties agree to seek an amicable resolution before taking any legal action. Failing that, the competent courts of Paris shall have sole jurisdiction.

SAM THE AGENCY reserves the right to modify these GTC at any time. The applicable GTC are those in force on the date the quote is signed.
